Specific Responsibilities
- Draft, review and/or negotiate complex contracts involving the company's products and services using a combination of standard language and situation specific language.
- Responsible for drafting contracts including but not limited to, master license agreement, master service agreements, non-disclosure agreements, evaluation agreements, and referral agreements.
- Analyze contracts and/or contract language requested by customers
- Present contracts to proper signing authorities with Contract Attorney approval
- Assist in preparing RFP's and contract proposals
- Maintain and track document progress both internally and externally
- Maintain electronic contract files and manage the contract scanning process to ensure that all contracts that are scanned are easily identifiable and accessible
- Maintain service termination letters and ensure they are scanned with the appropriate contract
- Perform contractual and administrative assignments that vary in scope
- Prepare correspondence, memos, records and forms
- Design and maintain legal and contract databases
- Learn business systems and contract/fulfillment processes and ensure that all contracts are reflected accurately in the company Business System and are set up properly for correct revenue recognition. Ensure that all terms and conditions agreed to can be supported by the Business system prior to signoff, by working with Sales Support.
- Work with Business Systems team to develop reporting on contract terms as sales management identifies reporting needs
Job Requirements:
- Strong project management skills as contract deadlines are critical to the company's success
- Strong document management, interpersonal, communication and negotiation skills
- Ability to manage and prioritize substantial and diverse workload
- Ability to work efficiently and independently while under deadlines.
- Ability to handle confidential information with discretion
- Minimum 2-3 years prior contracts experience. Data, software and services preferred.
- Experience with MS Office products (Word, Excel, PowerPoint, Outlook), and Salesforce.com preferred
